Terms of Service

These Terms of Service ("Terms") constitute a binding legal agreement between you or the entity you represent ("Customer," "you," or "your") and QuickAPI, a Wyoming limited liability company ("QuickAPI," "we," "us," or "our"). By signing up for an account or using QuickAPI's services, you agree to be bound by these Terms, including the Privacy Policy and all terms incorporated by reference. These Terms are effective immediately upon your affirmative action in signing up.
1. Service Description & Usage ⚡
1.1. Service Offering
QuickAPI provides a Software-as-a-Service (SaaS) platform that enables customers to create, manage, and monetize data and API services. Services include but are not limited to: CSV-to-API conversion, data hosting, API endpoints, user management, billing integration, and analytics. All services are provided "as-is" as described in Section 5 of these Terms.
1.2. Acceptable Use
You agree not to: (a) violate any applicable laws or regulations; (b) infringe upon intellectual property rights of third parties; (c) transmit malware, viruses, or harmful code; (d) attempt to gain unauthorized access to our systems; (e) use the service for illegal purposes, including but not limited to money laundering, fraud, or harassment; (f) reverse-engineer or attempt to extract our source code or proprietary methods; (g) resell the service without written permission; (h) violate rate limits, create excessive load, or conduct denial-of-service attacks; or (i) use the service in any way that violates third-party rights or these Terms.
1.3. Termination of Service
We reserve the right to suspend or terminate your account and access to the service immediately, without notice or cause, in our sole discretion. This includes termination for: violations of these Terms, suspected fraud, non-payment, or any reason whatsoever. Upon termination, your right to access the service ceases immediately. We are not liable for any damages, lost data, or business interruption resulting from termination.
2. Limitations & Service Characteristics ⚠️
2.1. Service Limitations
The QuickAPI service is provided with the following explicit limitations: (a) CSV-based API endpoints are read-only and support GET requests only; (b) Data modifications are not supported through API endpoints; (c) Rate limiting is enforced per plan and is subject to change without notice; (d) Data processing times are variable and unpredictable; (e) File uploads are subject to size and format restrictions; (f) API response times are not guaranteed; (g) Data migration tools are not available; and (h) Service features, functionality, and pricing may change or be discontinued at any time.
2.2. No Service Level Agreement
QuickAPI makes no commitment regarding uptime, availability, performance, or reliability of the service. We do not provide any Service Level Agreement (SLA). The service may be unavailable for scheduled maintenance, emergency repairs, or any reason whatsoever without notice or liability. You acknowledge that the service may experience interruptions, outages, delays, and data loss without recourse.
2.3. Data Processing Limitations
QuickAPI's data processing capabilities are subject to the following: (a) CSV type inference is automatic and may contain errors; (b) Large datasets may fail to process; (c) Data consistency is not guaranteed; (d) Query results may be incomplete or inaccurate; (e) Backup and disaster recovery services are not provided; and (f) We do not guarantee data retention and may delete data without notice.
3. Payment Terms & Refund Policy 💰
3.1. All Sales Final
ALL SALES ARE FINAL. NO REFUNDS, CREDITS, OR REVERSALS WILL BE ISSUED UNDER ANY CIRCUMSTANCES. This includes: (a) plans or subscriptions purchased and not used; (b) charges resulting from service usage; (c) fees incurred due to customer error; (d) early termination or account closure; (e) service outages or unavailability; (f) failure to notify us before the billing date; or (g) any other reason whatsoever. Customer is responsible for reviewing all charges and notifying us of discrepancies within 30 days of billing.
3.2. Billing
You authorize QuickAPI and our payment processor (Stripe) to charge your provided payment method for all fees due. Billing occurs automatically on your subscription renewal date. Failure to pay will result in suspension of service and may result in collection action. You are responsible for maintaining accurate billing information and updating payment methods as needed. Failed payment attempts may result in additional fees.
3.3. Price Changes
QuickAPI reserves the right to change pricing at any time. Price increases will apply to renewals after 30 days' notice. Continued use of the service after price increase notice constitutes acceptance of new pricing.
4. Intellectual Property & Content ©️
4.1. Our IP Rights
All content, features, functionality, design, graphics, text, code, and other materials comprising QuickAPI, including but not limited to our API, algorithms, query language (QQL), and infrastructure, are the exclusive property of QuickAPI or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws. You receive no license or ownership rights to any QuickAPI intellectual property.
4.2. Your Content
You retain ownership of data and content you upload to the service ("Your Content"). However, by uploading Your Content, you grant QuickAPI a worldwide, non-exclusive, royalty-free, perpetual license to: (a) store, process, and transmit Your Content; (b) use Your Content to provide and improve the service; (c) create anonymized, aggregated derivatives of Your Content for analytics, machine learning, and product improvement; (d) retain Your Content after account termination or deletion; and (e) use insights derived from Your Content indefinitely.
4.3. User-Generated Endpoints
You grant QuickAPI the right to host, cache, and serve your generated API endpoints. We may also analyze endpoint performance, usage patterns, and data characteristics for service optimization and product development.
5. DISCLAIMERS & NO WARRANTIES ⚖️
5.1. Express Disclaimers
THE SERVICE IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY, REPRESENTATION, OR CONDITION OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, OR ACCURACY. QUICKAPI MAKES NO WARRANTY THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE; (D) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (E) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (F) THE SERVICE COMPLIES WITH ANY STANDARD OR SPECIFICATION.
5.2. Third-Party Services
QuickAPI integrates with third-party services including but not limited to Stripe (payments), Clerk (authentication), AWS (hosting and storage), Vercel (CDN), Resend (email), Crisp (support chat), and others. QuickAPI is not responsible for the availability, accuracy, performance, or security of these third-party services. Your use of these services is governed by their respective terms of service.
5.3. Third-Party Content
QuickAPI is not responsible for content, data, or materials sourced from customers or third parties. You are solely responsible for ensuring that any data you upload or direct to QuickAPI does not infringe on intellectual property rights, violate privacy laws, or contain harmful content.
6. Limitation of Liability & Indemnification 🛡️
6.1. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL QUICKAPI BE LIABLE FOR: (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES; (B) LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY; (C) BUSINESS INTERRUPTION OR LOSS OF USE; (D) REPUTATIONAL HARM; OR (E) COSTS OF COVER OR SUBSTITUTE SERVICES; EVEN IF QUICKAPI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
QUICKAPI'S TOTAL LIABILITY SHALL NOT EXCEED THE LESSER OF (A) THE TOTAL AMOUNT PAID BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100. THIS LIMITATION APPLIES TO ALL CLAIMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND EVEN IF QUICKAPI IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR IF THE LIMITED REMEDY FAILS ITS ESSENTIAL PURPOSE.
6.2. Indemnification
You agree to indemnify, defend (at your expense), and hold harmless QuickAPI, its officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (A) your use of the service; (B) Your Content, including any infringement of third-party intellectual property rights; (C) your violation of these Terms or applicable law; (D) your violation of third-party rights; (E) your end-users' use of data or APIs you create through the service; (F) data breaches, loss, or misuse resulting from your account security; (G) your failure to maintain backup of Your Content; or (H) any other use or misuse of the service by you or your end-users. This indemnification obligation applies regardless of whether QuickAPI contributed to the claim.
7. Data & Security 🔒
7.1. Data Ownership
You retain ownership of Your Content. However, QuickAPI makes no commitment to maintain, secure, backup, or recover Your Content. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING BACKUP COPIES OF YOUR CONTENT. We are not liable for any loss, corruption, or deletion of Your Content.
7.2. Data Processing
Data may be processed, stored, and served from any location worldwide, including locations that may not provide equivalent privacy protections to your jurisdiction. Your use of the service constitutes consent to this global data processing. QuickAPI is not a GDPR data processor and makes no GDPR compliance representations. For data processing terms, refer to our Privacy Policy.
7.3. Security
QuickAPI uses industry-standard security practices but makes no guarantee that the service is secure or that Your Content will not be accessed, used, or disclosed by unauthorized third parties. You use the service at your own risk. You are responsible for implementing additional security measures if required for your use case.
8. User Responsibilities & B2B2C Relationships 👥
8.1. Your Responsibilities
You are responsible for: (A) maintaining confidentiality of your account credentials and API keys; (B) all activity under your account; (C) ensuring Your Content complies with applicable law; (D) obtaining necessary permissions from data subjects whose data you upload; (E) monitoring usage and preventing unauthorized access; (F) implementing appropriate access controls for your end-users; (G) monitoring your end-users' compliance with applicable laws; and (H) ensuring your end-users comply with these Terms through appropriate agreements or policies.
8.2. End-User Liability
If you provide APIs or data access to end-users, you are liable for all end-user actions, including but not limited to: data misuse, unauthorized access attempts, compliance violations, intellectual property infringement, or other wrongdoing. QuickAPI is not liable for end-user conduct even if end-users are accessible through the service.
9. Dispute Resolution & Governing Law ⚖️
9.1. Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms, the service, or your use of the service (collectively, "Dispute") shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under the AAA Commercial Arbitration Rules, rather than in court. By signing up, you agree that: (A) you are waiving your right to a jury trial; (B) you are waiving your right to a class action; (C) you are waiving your right to sue in court; (D) disputes will be resolved by a single arbitrator; (E) arbitration will occur in Wyoming (or remotely if both parties agree); and (F) arbitration rules will govern.
9.2. Class Action Waiver
YOU AGREE NOT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, REPRESENTATIVE ACTIONS, OR ANY PROCEEDING WHERE YOU ASSERT CLAIMS ON BEHALF OF OTHERS. All disputes must be brought in your individual capacity and cannot be brought as a plaintiff or class member in any class, consolidated, or representative action.
9.3. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is excluded.
9.4. Arbitration Process
The prevailing party in arbitration shall be entitled to recover reasonable attorneys' fees and costs from the non-prevailing party. Arbitration may not proceed until you have attempted to resolve the Dispute by providing written notice to QuickAPI at support@quickapi.io with specific details of the Dispute, and we have had 30 days to respond and attempt resolution.
10. Modifications & Termination 📝
10.1. Modifications to Terms
QuickAPI may modify these Terms at any time by posting the revised Terms on the website. Your continued use of the service after modifications constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
10.2. Modifications to Service
QuickAPI may modify, suspend, or discontinue any aspect of the service at any time without notice or liability. This includes features, functionality, pricing, or the service itself.
10.3. Account Termination
You may terminate your account at any time by requesting account deletion. QuickAPI may terminate your account immediately for: violations of these Terms, non-payment, suspected fraud, or any reason in our sole discretion. Upon termination, your data may be deleted without notice and you have no claim to recovery.
11. Miscellaneous 🔧
11.1. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and QuickAPI regarding your use of the service and supersede all prior agreements and understandings.
11.2. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
11.3. No Waiver
Failure to enforce any right does not constitute a waiver of that right.
11.4. Assignment
QuickAPI may assign these Terms and your account to any third party without notice. You may not assign without written consent.
